This section details the company’s vigil mechanism policy enabling confidential reporting of unethical practices or violations. It ensures protection against retaliation and promotes a culture of integrity.

1. Objective

DSM Hyperion Private Limited is committed to maintaining the highest standards of integrity, transparency, and ethical conduct. This Whistle Blower Policy provides a secure and confidential mechanism for employees, partners, consultants, vendors, and service providers to report any suspected misconduct, fraud, unethical behavior, or violation of company policies without fear of retaliation.

2. Scope

This policy applies to the reporting of:

Fraud, financial irregularities, or misappropriation of company assets

Bribery, corruption, or illegal gratification

Breach of company policies, code of conduct, or statutory obligations

Data misuse, privacy violations, or cybersecurity incidents

Abuse of authority, professional misconduct, or conflict of interest

Any activity that may harm the company’s reputation or operations

3. Reporting Mechanism

Concerns may be reported through any of the following channels:

Written communication addressed to the registered office.
Confidential internal reporting systems as notified from time to time

Reports should contain sufficient details, supporting evidence (where available), and contact information to enable proper investigation.

4. Confidentiality & Anonymity

All disclosures will be handled with strict confidentiality.

The identity of the whistle blower shall not be disclosed without consent unless required by law.

Anonymous disclosures may be accepted; however, providing contact information is encouraged to facilitate investigation.

5. Protection Against Retaliation

DSM Hyperion Private Limited strictly prohibits any form of retaliation, harassment, discrimination, or adverse action against individuals who raise concerns in good faith.

Any act of retaliation shall be treated as a serious disciplinary offence and may result in termination of association or legal action.

6. Investigation Process

All complaints shall be acknowledged within 5 working days.

The Whistle Blower Officer shall conduct a preliminary assessment to determine the scope and seriousness of the issue.

Where required, the matter shall be escalated to senior management or an independent review committee.

Investigations shall be conducted objectively, fairly, and within a reasonable timeframe.

7. False or Malicious Complaints

While the company encourages reporting of genuine concerns, any knowingly false or malicious complaint may attract disciplinary action.

8. Record Maintenance

All whistle blower complaints, findings, and actions taken shall be documented and securely maintained in accordance with applicable laws and internal policies.

9. Policy Review

This policy shall be reviewed periodically and updated as required to ensure compliance with regulatory requirements and best governance practices.
